Approach
Why Clients Instruct Him
Assad’s standing rests on two things that are rarely found in one lawyer: commercial experience from the client’s side of the table, and a record of work for international clients in Pakistan.
Counsel With Boardroom Experience
Assad has been in-house counsel and Director Legal of the Saif Group, and holds board and chief executive roles in textile, energy and media companies. His advice on structure, risk and terms is given with the commercial pressures on both sides of the table in view.
Foreign Investors Entering Pakistan
He has acted for clients from China, South Korea and the United Arab Emirates, and on telecom contracts with companies in the United Kingdom, the United States and Australia, advising on the vehicle, the approvals and the agreements needed to operate in Pakistan.
Practice
What He Advises On
Assad’s practice runs from the transaction to the dispute. He structures and documents corporate, financing, property and commercial deals, and when a deal or a relationship breaks down he takes the matter into court or arbitration.
Corporate and M&A
Structuring, negotiating, documenting and closing acquisitions, mergers and joint ventures, for bidders, targets, boards and minority shareholders.
Energy, Banking and Real Estate
The financing, concession and property work behind power plants, developments and construction projects, and the banking documents that fund them.
Litigation and Arbitration
Corporate litigation for local and foreign financial institutions and corporate clients, and arbitration of contractual disputes.
Telecom and Bandwidth
The carrier and capacity contracts that telecom businesses depend on, and the regulatory questions that arise around them.
Hospitals and Healthcare Providers
Contracts and governance for private hospitals and healthcare groups.
Environment and Carbon Credits
Legal support for environmental businesses and for the environmental side of larger deals.
Setting Up in Pakistan
Assad advises foreign clients on establishing a business presence in Pakistan: choosing the vehicle, incorporating it, structuring ownership and funding, and obtaining the approvals needed to operate. From Islamabad, he works closely with the federal regulators and authorities that these approvals pass through.
Projects and Their Financing
He has advised infrastructure projects across sectors on their equity, debt and bank financings, on project finance, and on restructuring and refinancing with their lenders. His IPP experience covers corporate structuring, the concession documents (PPA, IA and GSA), EPC contracts and the regulators that oversee power generation in Pakistan.
